  5. Can you buy tokenised US stocks / tokenised private equity in Hong Kong?
Can you buy tokenised US stocks / tokenised private equity in Hong Kong?

Can you buy tokenised US stocks / tokenised private equity in Hong Kong?

Yes, but usually not “open to everyone in the way a US stock App is”, and not “code on chain means you own shares of a listed company”.

In Hong Kong, most tokenised stocks, private equity and Pre-IPO-related products are sold to Professional Investors (PIs) under private placement structures of securities or collective investment schemes. Whether you can buy depends first on whether you are a PI, and then on whether the legal structure of the product is permitted to be distributed in Hong Kong.

First, distinguish three completely different things

1. Tokenised listed stocks / stock receipt structures.

The underlying references the equity of, or depositary receipts over, an already listed company; the token represents an interest in a special purpose vehicle (SPV) or a trust, rather than your name appearing directly on the US share register. Rights are as set out in the offering documents: whether there are voting rights, how dividends are passed through, and how stock splits or privatisations are handled.

2. Tokenised private equity / fund units.

The underlying is a private fund or unlisted equity. Liquidity is usually poor, transfers are restricted, and valuations are not continuous exchange quotations.

3. Pre-IPO or structures that “share in the outcome of a future listing”.

This name is the easiest to confuse. Some are regulated tokenised securities, some are contracts linked to the proceeds of a future listing or sale, and some are merely synthetic prices on overseas platforms. The legal recourse under each of the three is completely different.

Calling all three categories “tokenised US stocks” is currently the biggest misconception trap in the market.

Hong Kong’s real threshold: in most cases, PI + private placement exemption

Offering securities or collective investment schemes to the public requires, in principle, recognition or registration under the Securities and Futures Ordinance (SFO) and other applicable requirements. In practice, tokenised equity-type products largely rely on the Professional Investor exemption:

– Offered to PIs only

– No product promotion to the public in Hong Kong

– Distributed by institutions holding relevant licences such as Type 1

Therefore:

– Marketing you see on social media for “Asia’s first SpaceX / some unicorn” does not automatically amount to an offer to the Hong Kong public

– A tokenised equity product listed on a licensed VATP will usually still be marked Professional Investors only

– Even if you are already a spot customer of a licensed platform, you do not automatically qualify to buy tokenised equity

For the definition of Professional Investor, see “What Professional Investors can do on a licensed VATP”.

Seven questions you must be able to answer before buying

  1. Who is the issuer? Who is the licensed distributor?
  2. Does the token represent shares, fund units, rights to income or swap-style exposure?
  3. Which custodian or registrar holds the underlying assets?
  4. What rights can you assert in a Hong Kong court or in the place of issuance?
  5. Can it be transferred on the secondary market, to whom, and is the issuer’s consent required?
  6. If the company actually IPOs or is acquired, how do token holders receive consideration?
  7. On which page are the fees, the lock-up period and the valuation frequency set out?

If you cannot answer questions 2, 3 or 4, do not treat this money as “buying US stocks early”.

Liquidity: do not use stock price candlesticks to understand private tokens

Even if a product shows bid/ask orders on a VATP, it may still:

– Have only a limited number of market makers

– Be transferable only between PIs

– Have no trades for long periods

– Have prices derived from agreed valuations rather than an open market

A quote on the secondary market does not mean you can exit in full at that price. This differs from tokenised money market funds — the latter at least have a primary redemption mechanism to serve as a reference point.

Public facts relating to EX.IO

The platform has already listed multiple tokenised securities-type products on its wealth/RWA channel and has published listing announcements on equity-linked and private-related tokenised products (for example, equity-linked structures and private credit, all marked as for Professional Investors). EX.IO Group has also been exploring, through Token Planet, the tokenised issuance and subsequent circulation of start-up equity under a compliant framework. These facts show that “accessing equity-type RWA on a licensed platform” has already happened in Hong Kong, but they do not constitute a recommendation of any single product.

FAQ

Q: I already have a US stock brokerage account. Why would I buy the tokenised version?

A: The typical claims of the tokenised version are 24/7 transfer, smaller units and onboarding under the same account opening as your virtual asset account. The cost is a more complex structure, and the rights may be indirect. It is not an automatic upgrade that replaces a Nasdaq account.

Q: Can retail buy tokenised Tesla or Nvidia?

A: Do not assume so. Hong Kong’s retail investable scope is separate from the PI product shelf. What governs is the “offer target” as set out in the product’s sales documents.

Q: Does tokenisation equal shares already registered in the US?

A: Usually not. Most structures map economic exposure through SPVs, notes or rights to income. You must read the offering documents.

Q: If a product says it is “SpaceX-related”, does that mean holding SpaceX shares?

A: Not necessarily. It could be depositary receipts, income-linked exposure, indirect fund exposure or a fully synthetic price. The differences among the three are substantial.
