EXCB25 (the “Token”) is a tokenised convertible promissory note (CPN) issued by EXIO Group Limited (the “Issuer”, the “Company”), an investment holding company incorporated in the Cayman Islands, with its wholly-owned subsidiary EXIO Limited operating as a licensed virtual asset trading platform in Hong Kong (the “VATP”) under the Securities and Futures Commission (SFC) license (BUT670). The Tokens represent tokenised CPN as a blockchain asset using a smart contract that is compatible with the Ethereum blockchain. The Issuer has also instructed the registrar – CTI Capital Trust Limited (the “Registrar”) – to maintain an off-chain register (the “Register”). In the event of any inconsistency between the recordings of the Register and the other blockchain recordings or information, the Register shall prevail.
